By accessing, engaging, or purchasing any service offered by Fortitude Virtual Professionals (“FVP,” “we,” “us”), you (“Client,” “you”) agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services.
These terms constitute a binding agreement between you and Fortitude Virtual Professionals, LLC. Continued use of any FVP service constitutes ongoing acceptance of these terms as they may be updated from time to time.
Fortitude Virtual Professionals operates a diagnostic-first revenue infrastructure model. Our services include:
All engagements begin with the Revenue Leak Audit. No ongoing services are initiated without a completed diagnostic.
Fortitude Virtual Professionals does not guarantee any specific financial, operational, marketing, or performance results. Revenue projections, cost savings, and improvement estimates are illustrative only.
Results depend on numerous factors outside of FVP’s control, including but not limited to market conditions, client execution, existing infrastructure, product-market fit, and team capacity. Past performance and case studies are not guarantees of future results.
Fortitude Virtual Professionals is an independent contractor. Nothing in these terms or in any engagement creates an employer-employee relationship, partnership, joint venture, or agency relationship between FVP and the Client.
FVP personnel are not employees of the Client and are not entitled to any employee benefits. FVP maintains full control over the manner and means by which services are performed.
The Client agrees to:
Delays or inability to perform caused by the Client’s failure to meet these responsibilities do not constitute grounds for refund or reduction of fees.
All fees are in U.S. dollars. Late payments on retainer engagements may result in suspension of services until the account is brought current.
If the Revenue Leak Audit is completed and we identify no actionable revenue opportunities, the full $997 fee will be refunded. “No actionable opportunities” is defined as: no areas where changes to funnel, pipeline, operations, or systems would be reasonably expected to improve revenue. This determination is made at Fortitude’s professional discretion.
Refund requests must be submitted within 14 days of audit delivery. No refunds are issued for Sprint or Operations Command engagements except as specified in the applicable SOW.
All deliverables produced during an engagement—including written reports, action plans, roadmaps, and custom assets—belong to the Client upon full payment of applicable fees.
FVP retains the right to use anonymized methodologies, frameworks, processes, and general knowledge developed or refined during engagements. FVP will not disclose Client-specific data, metrics, or proprietary information in any anonymized materials.
Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. Proprietary information includes, but is not limited to, business strategies, financial data, customer lists, operational processes, and trade secrets.
Confidentiality obligations survive the termination of any engagement and remain in effect indefinitely unless the information becomes publicly available through no fault of the receiving party.
To the maximum extent permitted by law, FVP’s aggregate liability for any claims arising out of or related to services provided shall not exceed the total fees paid by the Client to FVP in the twelve (12) months immediately preceding the event giving rise to the claim.
In no event shall FVP be liable for indirect, incidental, consequential, special, or punitive damages, including but not limited to lost revenue, lost profits, or loss of business opportunity, regardless of whether such damages were foreseeable.
Either party may terminate a retainer engagement with thirty (30) days’ written notice. Upon termination, the Client is responsible for payment of all fees for services rendered through the termination date.
FVP reserves the right to terminate any engagement immediately if the Client engages in conduct that is unlawful, fraudulent, or materially harmful to FVP’s business or reputation.
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. Any disputes arising under these terms shall be resolved in the courts of the State of Florida.
